“Wo Long 2: Wings of Ember Alpha Demo” License Agreement
1. Software License
- All copyright and related intellectual property rights in and to this software program, its update programs and this software program updated by the update programs (including, but not limited to, any related documentation and content in paper or electronic media, collectively the “Product”) are owned by Koei Tecmo Games Co., Ltd. (“Koei Tecmo”) or its licensors.
- The Product is licensed, not sold, for your use. All rights not specifically granted are reserved by Koei Tecmo or its licensors.
- Subject to your consent to this Agreement, Koei Tecmo grants you the non-exclusive, non-transferable and non-sublicensable right to install (copy) the Product on your devices compatible with XBOX Services (a "XBOX Device") by registering a serial code or other means and to use it for your personal use only.
- With respect to the Product you have installed on the device pursuant to section (3) above, you may install the same Product on another XBOX Device as long as you comply with certain terms and conditions, including, but not limited to, this Agreement and Microsoft Corporation’s and its affiliates’ Terms of Service. Failure to agree to or comply with such provisions shall result in your inability to use the Product in part or in full.
- Except when you install the Product on the XBOX Device under section (3) and (4) above, you may not copy the Product.
2. User-Generated Content (UGC)
- You may use the “Character Creation” tool (hereinafter referred to as “the Tool”) included in the Product to utilize CG data and other materials or their combinations (hereinafter referred to as “Materials”) contained in the Product to create character appearance data (hereinafter referred to as “UGC”), which you may also exchange with other users.
- Unless otherwise specified in this Agreement, you may not modify, adapt, or otherwise alter the Materials. All copyrights related to the UGC shall belong exclusively to Koei Tecmo.
3. Prohibited Actions
- When using the Product hereunder, you may not:
- except as otherwise expressly provided herein, copy, modify, alter or transfer the Product;
- combine the Product with any other software;
- rent, lease or otherwise exploit the Product commercially;
- transmit or make ready to be transmitted to the public the Product in whole or in part via the internet or any other method without Koei Tecmo’s express written approval;
- reverse engineer, derive source code, modify, decompile, disassemble or otherwise analyze the Product;
- breach any terms and conditions hereof;
- interrupt Koei Tecmo’s smooth operation when you use the Product and contact Koei Tecmo’s customer support set forth in Article 5 below;
- cause disadvantage, damage or uncomfortable feelings to other purchasers of the Product or any other third party;
- act against public order and good morals;
- commit a crime or an illegal act or otherwise violate any laws or regulations;
- infringe Koei Tecmo’s reputation, intellectual property rights or other rights or profit;
- repeatedly make the same, similar inquiries etc. to Koei Tecmo about the Product;
- conduct any other acts that Koei Tecmo deems to be inappropriate;
- directly or indirectly, evoke or facilitate any of acts listed in the preceding items;
- conduct any act that Koei Tecmo reasonably determines falls under or possibly falls under any of the preceding items;
- When using the Product, other than the terms stated in Section 2.(1), you may not engage in any of the following activities, whether during gameplay conducted online or during interactions with other users conducted online (hereinafter collectively referred to as “Online Gameplay”):
- introducing UGC or indulging in Online Gameplay which is abusive, bullying, corrupting, defamatory, degrading, fraudulent, harassing, insulting, obscene, offensive, racist, sexist, threatening or that may incite violence, terrorism, hatred or self-harm, or that might impair the physical, mental or moral development of other users;
- introducing UGC that contains or may potentially contain personal information;
- introducing UGC that infringes or may potentially infringe upon the intellectual property rights or other rights of third parties;
- introducing UGC or indulging in Online Gameplay which is equivalent to the prohibited activities explicitly stated in Section 2.(1).

4. Scope of Warranty and Liability
- If the Product doesn’t work as prescribed in the manual provided by Koei Tecmo and you can’t substantially use the Product due to the cause contributable to Koei Tecmo, Koei Tecmo, at its own discretion, shall reissue a serial code, allow you to re-download the Product, fix the Product (including distribution of update programs) or refund the price of the Product to you, for sixty (60) days after your purchase with respect to the Product sold for Japan or for ninety (90) days after your purchase with respect to the Product sold for territories other than Japan, as the case may be.
- Section (1) above shall apply only if Koei Tecmo could confirm the record of your purchase of the Product. If Koei Tecmo refunds to you under section (1) above, you shall completely delete the Product from the XBOX Device on which the Product is installed.
- Section (1) above shall not apply if the malfunction or the defect of the Product is due to any of followings:
- use of the Product breaching any terms and conditions hereof;
- your modification or alteration of the Product or combination of the Product and any other product;
- your willful or negligent misuse of the Product or other uses under an abnormal condition of the Product; or
- any defect or malfunction of the XBOX Device on which the Product is installed or other hardware connected to the XBOX Device, or non-conformance of the XBOX Device to system requirements or communication environment required for the Product.
- The Product is provided "as is". Koei Tecmo makes no warranties of any kind, express, implied or otherwise, regarding the completeness, accuracy, usefulness, performance, or appropriateness of the Product, including, but not limited to, fitness or suitability for a particular purpose and freedom from any bugs and any other defects.
- Koei Tecmo may at any time modify a part of the Product (including distribution of update programs) without giving prior notice to you. In the event that Koei Tecmo is liable for any damages or loss of profit incurred by you arising out of such modification, Koei Tecmo’s total liability to you shall not exceed an amount equal to the amount you have paid for the Product, except in the event of willful act or gross negligence on the part of Koei Tecmo (including Koei Tecmo’s representative and employees).
- In the event Koei Tecmo is liable for any incidental, indirect, special, consequential or future damages or loss etc. incurred by you arising out of use, unavailability or discontinuance of the Product, Koei Tecmo’s total liability to you hereunder shall not exceed an amount equal to the amount you have paid for the Product, except in the event of willful act or gross negligence on the part of Koei Tecmo (including Koei Tecmo’s representative and employees).
5. Customer Support
You agree and acknowledge that Koei Tecmo shall provide you with customer support for the Product subject to the following terms and conditions:
- Koei Tecmo shall provide you with customer support for the Product only for the period of three (3) years from its commercial launch date;
- Any inquiries with respect to the Product from you to our customer support division shall be made by filling out a web form specified by Koei Tecmo;
- Please see the Product’s user manual for the contact of Koei Tecmo’s customer support;
- Koei Tecmo shall, at its own discretion, determine whether to answer and what to answer to your inquiry;
- We might not answer depending on your inquiry; and
- Koei Tecmo makes no warranties of any kind, express, implied or otherwise, regarding the completeness, accuracy, usefulness, performance, or appropriateness of Koei Tecmo’s answer to your inquiry.

6. The Internet Connection
- When you use the Product, you may need an internet connection. You shall, at your own cost and responsibility, prepare and maintain the necessary communication environment for using the Product.
- Koei Tecmo shall not be responsible for any communication charges incurred by you in connection with your use of the Product.
- The communication environment required for the Product shall be as prescribed by Koei Tecmo separately.
7. Suspension and Termination of Provision of the Product
- Koei Tecmo may suspend or terminate the provision of the Product and related services, in whole or in part, at its sole discretion, if any of the following events occurs:
- periodic or emergency maintenance of systems related to the Product;
- failure of systems related to the Product;
- failure of communication lines, etc.;
- natural disasters such as earthquakes, floods, and tsunamis;
- war, riots, disturbances, labor disputes, etc.;
- fire, power outage, etc.; or
- any other events in which Koei Tecmo deems it necessary to suspend or terminate the provision of the Product.
- Koei Tecmo may, at its sole discretion, terminate the provision of the Product and related services after a certain period of time from the launch of the Product.
- Koei Tecmo shall not be liable for any damages incurred by you arising out of any suspension or termination of the provision of the Product and related services pursuant to this Article, except in the event of willful act or gross negligence on the part of Koei Tecmo (including Koei Tecmo’s representative and employees).
- In addition to Section 7.(1), Koei Tecmo may, upon your violation of the terms of this Agreement, delete your UGC, issue a warning, suspend or permanently ban your account, impose other restrictions on the Product or related services.
8. Export Control
You shall not export, directly or indirectly, the Product in whole or in part in any form, to any country without first obtaining necessary export license or other governmental approval of Japanese government or the relevant country’s government.
9. General Provisions
- If any provision of this Agreement or part thereof is held to be invalid or unenforceable under any laws or regulations, the remaining provisions hereof shall remain in full force and effect.
- This Agreement shall be governed by the laws of Japan.
- In the event of any dispute, this English version of this Agreement shall prevail over any other language versions.
- Any and all disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the Tokyo District Court in the first instance.
10. Personal Information
Koei Tecmo may use the personal information obtained from you for the operation of the Product. For details on the information collected from you and for the purposes, please refer to our Privacy Policy.

11. Special Provisions for Demo Versions
- THE FOLLOWING PROVISIONS ARE FOR THE DEMO VERSION OR OTHER EDITION PROVIDED FREE OF CHARGE (COLLECTIVELY, THE "DEMO VERSION"), AND SHALL PREVAIL OVER ANY OTHER PROVISIONS OF THIS AGREEMENT:
- KOEI TECMO DOES NOT GUARANTEE THE OPERATION OF THE DEMO VERSION IN ALL ENVIRONMENTS INCLUDING ANY PARTICULAR USER ENVIRONMENT OR SETUP, AND KOEI TECMO RESERVES ITS RIGHTS TO CHANGE ITS SPECIFICATIONS WITHOUT PRIOR NOTICE.
- THE DEMO VERSION IS LICENSED TO YOU FREE OF CHARGE ON AN "AS IS" BASIS, AND KOEI TECMO MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, AS TO ITS ACCURACY, COMPLETENESS, USEFULNESS, RELIABILITY OR ANY OTHER MATTER.
- KOEI TECMO IS UNDER NO OBLIGATION AND DOES NOT PROVIDE ANY SUPPORT SERVICES FOR THE DEMO VERSION.
- KOEI TECMO SHALL NOT BE LIABLE FOR ANY DAMAGES INCURRED BY YOU OR A THIRD PARTY IN CONNECTION WITH OR AS A RESULT OF ANY USE OF THE DEMO VERSION.

- The Product may allow you to engage in Online Gameplay. You shall be solely responsible for any communication charges and other costs incurred in connection with Online Gameplay.
- Koei Tecmo does not guarantee that Online Gameplay will be available at all times or in all regions.
- Koei Tecmo may, at its sole discretion, modify, suspend or terminate Online Gameplay, in whole or in part, without prior notice to you.
- Koei Tecmo shall not be liable for any damages incurred by you arising out of any modification, suspension or termination of Online Gameplay pursuant to this Article, except in the event of willful act or gross negligence on the part of Koei Tecmo (including Koei Tecmo’s representative and employees).

- KOEI TECMO SHALL NOT BE LIABLE FOR ANY DAMAGES INCURRED BY YOU OR A THIRD PARTY IN CONNECTION WITH OR AS A RESULT OF ANY USE OF THE DEMO VERSION.
12. Miscellaneous
- This Agreement constitutes the entire agreement between you and Koei Tecmo with respect to the Product, and supersedes all prior or contemporaneous understandings regarding such subject matter.
- Koei Tecmo may amend this Agreement at any time by posting the amended version on its website or by other means deemed appropriate by Koei Tecmo. Your continued use of the Product after such amendment shall constitute your acceptance of the amended Agreement.

- When using the Product, other than the terms stated in Section 2.(1), you may not engage in any of the following activities, whether during gameplay conducted online or during interactions with other users conducted online (hereinafter collectively referred to as “Online Gameplay”):
- introducing UGC or indulging in Online Gameplay which is abusive, bullying, corrupting, defamatory, degrading, fraudulent, harassing, insulting, obscene, offensive, racist, sexist, threatening or that may incite violence, terrorism, hatred or self-harm, or that might impair the physical, mental or moral development of other users;
- introducing UGC that contains or may potentially contain personal information;
- introducing UGC that infringes or may potentially infringe upon the intellectual property rights or other rights of third parties;
- introducing UGC or indulging in Online Gameplay which is equivalent to the prohibited activities explicitly stated in Section 2.(1).

4. Scope of Warranty and Liability
- If the Product doesn’t work as prescribed in the manual provided by Koei Tecmo and you can’t substantially use the Product due to the cause contributable to Koei Tecmo, Koei Tecmo, at its own discretion, shall reissue a serial code, allow you to re-download the Product, fix the Product (including distribution of update programs) or refund the price of the Product to you, for sixty (60) days after your purchase with respect to the Product sold for Japan or for ninety (90) days after your purchase with respect to the Product sold for territories other than Japan, as the case may be.
- Section (1) above shall apply only if Koei Tecmo could confirm the record of your purchase of the Product. If Koei Tecmo refunds to you under section (1) above, you shall completely delete the Product from the PlayStation Device on which the Product is installed.
- Section (1) above shall not apply if the malfunction or the defect of the Product is due to any of followings:
- use of the Product breaching any terms and conditions hereof;
- your modification or alteration of the Product or combination of the Product and any other product;
- your willful or negligent misuse of the Product or other uses under an abnormal condition of the Product; or
- any defect or malfunction of the PlayStation Device on which the Product is installed or other hardware connected to the PlayStation Device, or non-conformance of the PlayStation Device to system requirements or communication environment required for the Product.
- The Product is provided "as is". Koei Tecmo makes no warranties of any kind, express, implied or otherwise, regarding the completeness, accuracy, usefulness, performance, or appropriateness of the Product, including, but not limited to, fitness or suitability for a particular purpose and freedom from any bugs and any other defects.
- Koei Tecmo may at any time modify a part of the Product (including distribution of update programs) without giving prior notice to you. In the event that Koei Tecmo is liable for any damages or loss of profit incurred by you arising out of such modification, Koei Tecmo’s total liability to you shall not exceed an amount equal to the amount you have paid for the Product, except in the event of willful act or gross negligence on the part of Koei Tecmo (including Koei Tecmo’s representative and employees).
- In the event Koei Tecmo is liable for any incidental, indirect, special, consequential or future damages or loss etc. incurred by you arising out of use, unavailability or discontinuance of the Product, Koei Tecmo’s total liability to you hereunder shall not exceed an amount equal to the amount you have paid for the Product, except in the event of willful act or gross negligence on the part of Koei Tecmo (including Koei Tecmo’s representative and employees).
5. Customer Support
You agree and acknowledge that Koei Tecmo shall provide you with customer support for the Product subject to the following terms and conditions:
- Koei Tecmo shall provide you with customer support for the Product only for the period of three (3) years from its commercial launch date;
- Any inquiries with respect to the Product from you to our customer support division shall be made by filling out a web form specified by Koei Tecmo;
- Please see the Product’s user manual for the contact of Koei Tecmo’s customer support;
- Koei Tecmo shall, at its own discretion, determine whether to answer and what to answer to your inquiry;
- We might not answer depending on your inquiry; and
- Koei Tecmo makes no warranties of any kind, express, implied or otherwise, regarding the completeness, accuracy, usefulness, performance, or appropriateness of Koei Tecmo’s answer to your inquiry.

6. The Internet and Online Services
- The Product may allow you to access certain online services, features, or content provided by Koei Tecmo or third parties. Your use of such online services, features, or content is subject to the terms and conditions established by Koei Tecmo or such third parties, including but not limited to any applicable terms of service and privacy policies.
- Koei Tecmo may, at its sole discretion, modify, suspend, or terminate any online services, features, or content related to the Product at any time without prior notice to you.
- Koei Tecmo shall not be liable for any damages incurred by you arising out of your use of any online services, features, or content related to the Product, except in the event of willful act or gross negligence on the part of Koei Tecmo (including Koei Tecmo’s representative and employees).
7. Suspension and Termination of the Product and Related Services
- Koei Tecmo may suspend or terminate the provision of the Product and related services, in whole or in part, at its sole discretion, if any of the following events occurs:
- periodic or emergency maintenance of systems related to the Product;
- failure of systems related to the Product;
- failure of communication lines, etc.;
- natural disasters such as earthquakes, floods, and tsunamis;
- war, riots, disturbances, labor disputes, etc.;
- fire, power outage, etc.; or
- any other events in which Koei Tecmo deems it necessary to suspend or terminate the provision of the Product.
- Koei Tecmo may, at its sole discretion, terminate the provision of the Product and related services after a certain period of time from the launch of the Product.
- Koei Tecmo shall not be liable for any damages incurred by you arising out of any suspension or termination of the provision of the Product and related services pursuant to this Article, except in the event of willful act or gross negligence on the part of Koei Tecmo (including Koei Tecmo’s representative and employees).
- In addition to Section 7.(1), Koei Tecmo may, upon your violation of the terms of this Agreement, delete your UGC, issue a warning, suspend or permanently ban your account, impose other restrictions on the Product or related services.
8. Export Control
You shall not export, directly or indirectly, the Product in whole or in part in any form, to any country without first obtaining necessary export license or other governmental approval of Japanese government or the relevant country’s government.
9. General Provisions
- If any provision of this Agreement or part thereof is held to be invalid or unenforceable under any laws or regulations, the remaining provisions hereof shall remain in full force and effect.
- This Agreement shall be governed by the laws of Japan.
- In the event of any dispute, this English version of this Agreement shall prevail over any other language versions.
- Any and all disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the Tokyo District Court in the first instance.
10. Personal Information
Koei Tecmo may use the personal information obtained from you for the operation of the Product. For details on the information collected from you and for the purposes, please refer to our Privacy Policy.

11. Special Provisions for Demo Versions
- THE FOLLOWING PROVISIONS ARE FOR THE DEMO VERSION OR OTHER EDITION PROVIDED FREE OF CHARGE (COLLECTIVELY, THE "DEMO VERSION"), AND SHALL PREVAIL OVER ANY OTHER PROVISIONS OF THIS AGREEMENT:
- KOEI TECMO DOES NOT GUARANTEE THE OPERATION OF THE DEMO VERSION IN ALL ENVIRONMENTS INCLUDING ANY PARTICULAR USER ENVIRONMENT OR SETUP, AND KOEI TECMO RESERVES ITS RIGHTS TO CHANGE ITS SPECIFICATIONS WITHOUT PRIOR NOTICE.
- THE DEMO VERSION IS LICENSED TO YOU FREE OF CHARGE ON AN "AS IS" BASIS, AND KOEI TECMO MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, AS TO ITS ACCURACY, COMPLETENESS, USEFULNESS, RELIABILITY OR ANY OTHER MATTER.
- KOEI TECMO IS UNDER NO OBLIGATION AND DOES NOT PROVIDE ANY SUPPORT SERVICES FOR THE DEMO VERSION.
- KOEI TECMO SHALL NOT BE LIABLE FOR ANY DAMAGES INCURRED BY YOU OR A THIRD PARTY IN CONNECTION WITH OR AS A RESULT OF ANY USE OF THE DEMO VERSION.
